General Terms and Conditions of Engineering Offices in Austria \u2013 B2B (Between Businesses)<\/strong><\/p>\n\n\n\n

<\/p>\n\n\n\n

1.) Applicability of General Terms & Conditions and Deviations<\/h2>\n\n\n\n

a) The following General Terms and Conditions apply to all current and future contracts<\/p>\n\n\n\n

between the client as an entrepreneur and the engineering office.<\/p>\n\n\n\n

b) Deviations from these terms, especially from the client's terms, are only valid<\/p>\n\n\n\n

if expressly acknowledged and confirmed in writing by the engineering office.<\/p>\n\n\n\n

2.) Offers, Side Agreements<\/h2>\n\n\n\n

a) The offers of the engineering office are, unless stated otherwise, non-binding, including<\/p>\n\n\n\n

all data provided, including fees.<\/p>\n\n\n\n

b) If an order confirmation from the engineering office includes changes to the order,\nthese are considered<\/p>\n\n\n\n

approved by the client unless the client immediately objects in writing.<\/p>\n\n\n\n

c) Agreements must generally be in writing.<\/p>\n\n\n\n

3.) Order Placement<\/h2>\n\n\n\n

a) The nature and scope of the agreed services are determined by the contract, power of\nattorney,<\/p>\n\n\n\n

and these General Terms and Conditions.<\/p>\n\n\n\n

b) Changes and additions to the order require written confirmation from the engineering office<\/p>\n\n\n\n

to become part of the current contractual relationship.<\/p>\n\n\n\n

c) The engineering office commits to the proper execution of the order according to recognized technical standards<\/p>\n\n\n\n

and principles of economy.<\/p>\n\n\n\n

d) The engineering office may involve other qualified parties in fulfilling the contract and<\/p>\n\n\n\n

issue orders on behalf of the client. The engineering office is obligated to<\/p>\n\n\n\n

inform the client in writing of this intention and grant the client the opportunity<\/p>\n\n\n\n

to object to the engagement of a third party within 10 days.<\/p>\n\n\n\n

e) The engineering office may also involve other qualified parties<\/p>\n\n\n\n

as subcontractors and issue orders to them on behalf of the engineering office.<\/p>\n\n\n\n

The engineering office is obligated to inform the client in writing if it intends to engage<\/p>\n\n\n\n

a subcontractor and grant the client the opportunity to object to the engagement within one week;<\/p>\n\n\n\n

4.) Warranty and Compensation<\/h2>\n\n\n\n

a) Warranty claims can only be raised after formal notice of defects, which<\/p>\n\n\n\n

must be sent by registered letter within 14 days of the delivery of the service or partial service.<\/p>\n\n\n\n

b) Claims for rescission or price reduction are excluded. Claims for improvements<\/p>\n\n\n\n

or supplementation of missing items must be fulfilled by the engineering<\/p>\n\n\n\n

office within a reasonable period, which should generally not exceed one-third<\/p>\n\n\n\n

of the agreed execution period. No claims for delay damages can be made during this period.<\/p>\n\n\n\n

The engineering office must provide its services with the care expected from<\/p>\n\n\n\n

a professional (\u00a7 1299 ABGB).<\/p>\n\n\n\n

d) If the engineering office causes damage to the client through breach of contract,<\/p>\n\n\n\n

its liability for the resulting damage \u2013<\/p>\n\n\n\n

unless otherwise agreed \u2013 is limited to:<\/p>\n\n\n\n

1) No limitation for withdrawal and personal injury.<\/p>\n\n\n\n

2) In all other cases:<\/p>\n\n\n\n

\u2013 For orders up to 250,000.00 EUR: maximum 12,500.00 EUR;<\/p>\n\n\n\n

\u2013 For orders over 250,000.00 EUR: 5% of the order amount,<\/p>\n\n\n\n

but no more than 750,000.00 EUR.<\/p>\n\n\n\n

3) Liability for consequential damage and lost profits is excluded, even in cases of gross<\/p>\n\n\n\n

negligence, unless otherwise agreed in a specific case.<\/p>\n\n\n\n

5.) Withdrawal from The Contract<\/h2>\n\n\n\n

a) Withdrawal from the contract is only permitted for a good reason.<\/p>\n\n\n\n

b) In case of delay by the engineering office, the client may only withdraw after<\/p>\n\n\n\n

setting a reasonable grace period; the grace period must be set by registered letter.<\/p>\n\n\n\n

c) If the client delays a partial service or agreed cooperation, making it<\/p>\n\n\n\n

impossible or significantly hindering the execution of the order, the engineering<\/p>\n\n\n\n

office is entitled to withdraw from the contract.<\/p>\n\n\n\n

d) If the engineering office is entitled to withdraw from the contract, it retains<\/p>\n\n\n\n

the right to the entire agreed fee, also in the event of an unjustified withdrawal by the client.<\/p>\n\n\n\n

Additionally, \u00a7 1168 ABGB applies. If the client has a legitimate reason<\/p>\n\n\n\n

for withdrawal, they must compensate the engineering office for the services rendered.<\/p>\n\n\n\n

6.) Fees, Scope of Services<\/h2>\n\n\n\n

a) All fees are quoted in EUR unless otherwise specified.<\/p>\n\n\n\n

b) The indicated fee amounts exclude VAT (Value Added Tax),<\/p>\n\n\n\n

which must be paid separately by the client.<\/p>\n\n\n\n

c) Offsetting with any counterclaims is not permitted for any reason.<\/p>\n\n\n\n

d) Unless otherwise agreed, the non-binding calculation recommendations<\/p>\n\n\n\n

issued by the Association of Engineering Offices are part of the contract.<\/p>\n\n\n\n

e) Unless expressly agreed otherwise, payment must be made without<\/p>\n\n\n\n

deductions within 30 days from the invoice date to the bank account<\/p>\n\n\n\n

of the engineering office with a\ndomestic branch. In the case of delayed payment, interest of 9.2%<\/p>\n\n\n\n

per annum above the ECB base rate plus reminder fees must be paid.<\/p>\n\n\n\n

7.) Place of Performance<\/h2>\n\n\n\n

The place of performance for all office services is the location of the engineering office.<\/p>\n\n\n\n

8.) Confidentiality<\/h2>\n\n\n\n

a) The engineering office is obliged to keep all information provided by the client confidential.<\/p>\n\n\n\n

b) The engineering office is also obliged to keep its planning activities<\/p>\n\n\n\n

confidential as long as the client has a legitimate interest in this confidentiality.<\/p>\n\n\n\n

After completion of the project, the engineering office is entitled to publish the contractual<\/p>\n\n\n\n

work, in whole or in part, for advertising purposes unless otherwise agreed contractually.<\/p>\n\n\n\n

9.) Protection of Plans<\/h2>\n\n\n\n

a) The engineering office retains all rights and uses of the documents<\/p>\n\n\n\n

it creates (including plans, brochures, technical documents).<\/p>\n\n\n\n

b) Any use (especially editing, execution, duplication, distribution, public<\/p>\n\n\n\n

presentation, availability) of the documents or parts thereof is only permitted<\/p>\n\n\n\n

with the express consent of the engineering office. All documents must exclusively be<\/p>\n\n\n\n

used for the purposes explicitly defined when placing the order or through a subsequent agreement.<\/p>\n\n\n\n

c) The engineering office is entitled to require the client to mention the name<\/p>\n\n\n\n

(company name, business name) of the engineering office in publications<\/p>\n\n\n\n

and announcements about the project.<\/p>\n\n\n\n

d) In case of violations of these provisions regarding the protection of documents,<\/p>\n\n\n\n

the engineering office is entitled to a penalty equal to twice the reasonable<\/p>\n\n\n\n

fee for the unauthorized use, with the right to claim further damages<\/p>\n\n\n\n

remaining reserved. This penalty is not subject to judicial reduction. The burden<\/p>\n\n\n\n

of proof that the client did not use the engineering office\u2019s documents lies with the client.<\/p>\n\n\n\n

10.) Choice of Law, Jurisdiction<\/h2>\n\n\n\n

a) For contracts between the client and the engineering office,<\/p>\n\n\n\n

Austrian law exclusively applies.<\/p>\n\n\n\n

b) For all disputes arising from this contract, the jurisdiction of the court<\/p>\n\n\n\n

responsible for the location of the engineering office is agreed upon.<\/p>\n\n\n\n
